Reggelia Affiliate Partnership Agreement

This Affiliate Partnership Agreement (the "Agreement") is entered into by and between REGGELIA LLC, a Limited Liability Company registered in Delaware, US ("Company"), and the "Affiliate". The Company and the Affiliate shall collectively be referred to as the "Parties."

Definitions:

  • "Company's Products/Services": Refers to the products and/or services offered by the Company, which the Affiliate will promote and market as part of this partnership.
  • "Affiliate Partnership": Refers to the partnership established between the Company and the Affiliate for the promotion and marketing of the Company's Products/Services.

Purpose:

The purpose of this Agreement is to define the terms and conditions under which the Parties will collaborate to promote, market, and sell the Company's Products/Services through the Affiliate Partnership.

Obligations of the Parties:

Company's Obligations:

  • The Company agrees to provide the Affiliate with marketing materials, product information, and necessary support to facilitate the promotion of the Company's Products/Services.
  • The Company will pay the Affiliate a commission based on the sales and leads generated through the Affiliate's efforts, as detailed in an addendum to this Agreement.

Affiliate's Obligations:

  • The Affiliate agrees to actively and effectively promote the Company's Products/Services in a professional, ethical, and lawful manner.
  • The Affiliate will adhere to the marketing guidelines and instructions provided by the Company, ensuring the Company's brand integrity is maintained.

Compensation:

The Parties will agree upon the specific compensation structure, commission rates, payment schedule, and payment method in an addendum to this Agreement. The addendum will be considered an integral part of this Agreement.

Initial Purchase Commission Only:

Affiliate commissions are granted solely for the initial purchase made by the referred customer. Subsequent renewals, upgrades, or additional purchases will not be eligible for further commissions.

Right to Modify Commission and Pricing:

Reggelia LLC reserves the unilateral right to modify the commission percentages, pricing of products/services, and any other financial terms specified under this Agreement at its discretion. Such modifications will be effective upon providing the Affiliate with written notice of 14 days. The notice will be delivered to the Affiliate by email. The Affiliate’s continued participation in the Affiliate Partnership following the notice period will constitute acceptance of the new terms. Should the Affiliate disagree with the modifications, they have the right to terminate this Agreement in accordance with the termination provisions outlined herein.

"Refunds and Commission Adjustments:

The Affiliate acknowledges and agrees that the commission is earned only on final sales that are not subject to refunds. If a customer transaction, previously qualifying for a commission, is refunded, the corresponding commission will be deducted from the Affiliate's future payments. REGGELIA LLC will provide a monthly report detailing any adjustments made due to refunds. This clause is intended to ensure that the Affiliate is compensated fairly for valid sales, while protecting the Company from financial loss due to refunded sales.

Affiliate Marketing Compensation Addendum

This Affiliate Marketing Compensation Addendum is an integral part of the Reggelia Affiliate Partnership Agreement entered into by and between REGGELIA LLC ("Company") and the undersigned Affiliate ("Affiliate"). This document outlines the specific compensation terms related to the Affiliate's promotion and marketing of the Company's subscription-based services.

Compensation Structure

The Affiliate will earn commissions based on the number of paying subscribers referred to the Company's services, under the following terms:

  • Tier 1: Up to 10 Users - 10% Commission
  • Tier 2: 11-50 Users - 20% Commission
  • Tier 3: 51-250 Users - 30% Commission
  • Tier 4: 251+ Users - 22% Commission

Condition: Commission is earned per subscriber, per month, as long as each referred subscriber remains an active, paying user.

Payment Terms

  • Payment Schedule: Commissions are calculated at the end of each calendar month and are paid within 30 days of the end of the month.
  • Payment Method: Payments will be made via Wise.
  • Minimum Payout Threshold: There is no minimum payout threshold.

Modifications

  • Modifications to Financial Terms: Reggelia LLC reserves the right to unilaterally modify any financial terms within this Compensation Addendum, including but not limited to commission percentages and pricing, at its sole discretion. Such modifications will be effective upon providing the Affiliate with written notice of 14 days. The notice will be delivered to the Affiliate through the agreed method of communication as stipulated in this Agreement. The Affiliate’s continued participation in the Affiliate Partnership following the notice period will constitute acceptance of the new financial terms.

Term and Termination:

This Agreement shall commence on the Effective Date and continue until terminated by either Party with written notice to the other Party. Either Party may terminate this Agreement with or without cause by providing written notice to the other Party. Upon termination, all unpaid commissions shall be paid to the Affiliate in accordance with the terms of this Agreement.

Confidentiality:

Both Parties agree to maintain the confidentiality of all non-public information related to the Company and the Affiliate Partnership, including, but not limited to, customer data, marketing strategies, and financial information.

Governing Law and Dispute Resolution:

This Agreement shall be governed by and construed in accordance with the laws of Delaware, US. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Delaware, US.

Entire Agreement:

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements and understandings, whether written or oral.
